1. Agreement Between User and DHX Solutions

Welcome to DHX Solutions ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our marketing, automation, and artificial intelligence systems (collectively, the “Services”), available through login.dhxsolutions.com and related platforms (the “Platform”).

By creating an account, using our Services, or making payment, you agree to these Terms. If you do not agree, you must discontinue all use immediately.


2. Services Provided

DHX Solutions provides digital marketing, automation, artificial intelligence (“AI”) tools, and communication systems designed to help businesses improve lead generation, sales, and customer management.
We reserve the right to modify, expand, or discontinue any portion of the Services at any time without prior notice.


3. Account Registration and Security

  • You must create an account to access the Platform.

  • You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

  • DHX Solutions is not responsible for unauthorized access resulting from your failure to maintain account security.

  • You agree to immediately notify us of any unauthorized use or security breach.


4. Fees, Payments, and Refund Policy

  • All Services, including subscription fees, communication usage (SMS, email, calls), and AI-related costs, are billed to the client.

  • All payments are final. DHX Solutions does not issue refunds for any reason once payment has been received.

  • Clients are responsible for all fees associated with the usage of our AI systems, including but not limited to OpenAI, Google, Meta, or other third-party API usage.

  • Failure to pay may result in account suspension or termination without notice.

  • Fees are billed on a recurring basis (monthly or annually) unless otherwise agreed upon in writing.


5. SMS Usage Policy and Ramp-Up Limits

To ensure compliance with communication laws and prevent spam or misuse, DHX Solutions enforces a daily SMS ramp-up policy for new accounts:

These limits are designed to prevent spam blasts and protect your sending reputation. Exceeding these limits or attempting to bypass restrictions may result in suspension or permanent removal from the Platform.


6. Message Compliance and Opt-Out Policy

All users of DHX Solutions’ communication systems must comply with applicable laws and industry standards, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)

  • CAN-SPAM Act

  • CTIA Messaging Guidelines

Recipients must always be provided a clear and simple way to opt out of receiving messages. You must honor all opt-out requests promptly.

Failure to comply with these policies may result in immediate suspension or termination of service.


7. Handling Violations and Enforcement

When DHX Solutions identifies a violation of these Terms or messaging compliance rules, we will, where possible, work in good faith with the client to resolve the issue.

However, to protect all users and maintain system integrity, DHX Solutions reserves the right to suspend or remove access to the Platform or related communication services without prior notice in the case of serious or repeated violations.

This includes, but is not limited to:

  • Sending unsolicited or bulk spam messages

  • Violating local, state, or federal communication laws

  • Misuse of the Platform or AI systems for unlawful or deceptive practices

Repeated or egregious violations may result in permanent account termination.


8. Acceptable Use and Restrictions

You may not use DHX Solutions for any unlawful, fraudulent, or abusive purposes. Prohibited activities include:

  • Sending misleading or deceptive communications

  • Collecting or storing personal data without consent

  • Attempting to reverse-engineer, hack, or disrupt the Platform

  • Reselling or redistributing access to the Platform without authorization

DHX Solutions reserves the right to determine, in its sole discretion, what constitutes misuse.


9. Intellectual Property

All content, technology, software, and branding within DHX Solutions remain the exclusive property of the Company.
You may not copy, modify, distribute, or reverse-engineer any part of the Platform or its components without prior written consent.


10. Limitation of Liability

DHX Solutions provides the Services “as is” and makes no guarantees regarding results, uptime, or performance.
We are not liable for any direct, indirect, incidental, consequential, or special damages arising from:

  • Use or inability to use the Platform

  • Delays or service interruptions

  • Loss of data or revenue

You agree to indemnify and hold harmless DHX Solutions, its owners, and affiliates from any claims or damages resulting from your use of the Services.


11. Termination of Access

DHX Solutions may suspend or terminate your account at any time for:

  • Violation of these Terms

  • Non-payment

  • Abuse, spam, or system misuse

Upon termination, all outstanding payments become immediately due. You are responsible for ensuring all active campaigns, automations, and data are appropriately backed up prior to termination.


12. Amendments to Terms

We may update these Terms periodically. Any changes will take effect upon posting to the Platform. Continued use after changes are posted constitutes acceptance of the new Terms.


13. Governing Law

These Terms are governed by the laws of Wyoming, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Wyoming.
